1. Acceptance of Terms
Welcome to NZ Charge. These Terms of Service ("Terms") govern your access to and use of the NZ Charge mobile network management platform, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under New Zealand law
- Provide accurate and complete registration information
- Maintain the security of your account credentials
By creating an account, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Security
3.1 Account Creation
You must create an account to access certain features of our Service. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- Use a strong, unique password
- Not share your account with others
- Notify us immediately of any unauthorized access
- Take appropriate security measures to protect your devices
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.
4. Service Plans and Billing
4.1 Plan Selection
We offer various service plans with different features and data allowances. You may select, modify, or cancel your plan at any time through your account dashboard.
4.2 Billing and Payment
By subscribing to a plan, you agree to pay all applicable fees. Payment terms include:
- Monthly billing cycles starting from your activation date
- Automatic recurring payments unless cancelled
- All fees are in New Zealand Dollars (NZD) and include GST
- Payment must be made by valid payment method on file
4.3 Plan Changes
Plan upgrades take effect immediately. Plan downgrades take effect at the start of the next billing cycle. You will receive prorated credits for unused services when upgrading.
4.4 Refunds
We offer a 14-day satisfaction guarantee for new subscriptions. After this period, monthly fees are non-refundable except as required by law.
5. Data Usage and Network Access
5.1 Data Allowances
Each plan includes a specified monthly data allowance. When you exceed your allowance:
- Your connection speed may be reduced to prevent additional charges
- You may top up additional data through your dashboard
- Unused data may roll over to the next month (plan dependent)
5.2 Network Coverage
We strive to provide reliable network coverage throughout New Zealand. However, coverage may vary based on location, weather conditions, and network congestion. We do not guarantee uninterrupted service.
5.3 Fair Use Policy
Our "unlimited" plans are subject to fair use policies. Excessive use that impacts network performance for other users may result in temporary speed restrictions.
6. Acceptable Use Policy
You agree not to use our Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malicious software or conduct cyberattacks
- Engage in harassment, threats, or abusive behavior
- Attempt to gain unauthorized access to our systems
- Resell or redistribute our Service without authorization
- Use automated systems to access the Service excessively
- Interfere with other users' enjoyment of the Service
Violation of this policy may result in immediate account suspension or termination.
7. Device Management
7.1 Device Compatibility
You are responsible for ensuring your devices are compatible with our network. We provide compatibility information on our website and through customer support.
7.2 Device Limits
Each plan has a maximum number of devices that can be connected simultaneously. Exceeding this limit may require a plan upgrade.
7.3 Device Security
You are responsible for securing your devices and protecting them from unauthorized access. We are not liable for compromised devices or unauthorized usage.
8. Intellectual Property
8.1 Our Rights
All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and trademarks, are owned by NZ Charge Limited and protected by intellectual property laws.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or business purposes in accordance with these Terms.
8.3 Restrictions
You may not copy, modify, distribute, sell, or reverse engineer any part of our Service without prior written consent.
9. Privacy and Data Protection
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.
We comply with the New Zealand Privacy Act 2020 and implement appropriate security measures to protect your data.
10. Service Availability and Maintenance
10.1 Uptime
We strive to maintain 99.9% network uptime. However, service interruptions may occur due to maintenance, technical issues, or circumstances beyond our control.
10.2 Scheduled Maintenance
We may perform scheduled maintenance with advance notice. We will minimize disruption during maintenance windows.
10.3 Emergency Maintenance
Emergency maintenance may be performed without prior notice to address critical issues or security vulnerabilities.
11. Limitation of Liability
To the maximum extent permitted by law:
- NZ Charge Limited shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
- We are not liable for service interruptions, data loss, or unauthorized access to your devices
- We do not warrant that the Service will be error-free or uninterrupted
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless NZ Charge Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through the Service
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.
13.2 Arbitration
For disputes under NZD $10,000, we encourage informal resolution by contacting our support team. If informal resolution fails, disputes may be resolved through binding arbitration.
13.3 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class action lawsuits.
14. Termination
14.1 Termination by You
You may cancel your service at any time through your account dashboard or by contacting customer support. Cancellations take effect at the end of the current billing cycle.
14.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Abuse our systems or other users
14.3 Effect of Termination
Upon termination, your access to the Service will cease, and you will lose access to your account data unless otherwise required by law.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Updating the "Last updated" date
- Sending email notifications for significant changes
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NZ Charge Limited.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
